This half-day workshop will look at some of the often overlooked terms of contracts and the dangers of adopting what is frequently considered to be "standard" wording. We will focus in particular on:
- Representations, warranties and indemnities: the differences between them, and the best way to address these differences in contracts.
- The hidden dangers of boilerplate: how best to understand these seemingly innocuous clauses in contracts and steer a safe path through the legal minefield which is boilerplate.
Our experts will update you on the current legal position and provide practical guidance on how to deal with these issues when drafting or interpreting contracts. The session will be interactive and involve a series of practical exercises.
