A sheep in wolf’s clothing: the new Companies Act

The new Companies Act is the first major companies legislation for over 20 years. It both amends company law and consolidates the 1985 Companies Act. This talk concentrates on the key changes, including:

  • Codification of directors’ duties.
  • Derivative actions.
  • Abolition of financial assistance prohibition for private companies.
  • New procedures for capital reduction.
  • Auditors’ liability.

The talk also identifies the huge swathes of the existing legislation which will remain essentially in its current form.
